5. Limitation of Liability
To the maximum extent permitted by applicable law:
5.1 Our total aggregate liability for any claims arising from or related to these terms or our services shall not exceed the total fees paid by you for the specific service giving rise to the liability during the twelve months preceding the claim.
5.2 We are not liable for any loss or damage that was not reasonably foreseeable at the time the agreement was entered into.
5.3 We are not responsible for losses resulting from your failure to comply with these terms or provide accurate information.
5.4 Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.
6. Confidentiality
6.1 Confidential Information
Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of our business relationship. This includes technical data, business strategies, financial information, and project details marked as confidential.
6.2 Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available through no fault of the receiving party
- Was rightfully possessed before disclosure
- Is independently developed without use of confidential information
- Must be disclosed by law or court order
7. Governing Law and Jurisdiction
7.1 Applicable Law: These Terms and Conditions shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law principles.
7.2 Jurisdiction: Any disputes arising from or relating to these terms shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland.
7.3 Language: These terms are written in English. If translated, the English version shall prevail in case of any discrepancies.
8. Dispute Resolution
8.1 Informal Resolution
Before initiating formal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation. Either party may initiate negotiations by providing written notice of the dispute.
8.2 Mediation
If informal negotiations fail, parties may agree to mediation before a mutually acceptable mediator before pursuing litigation.
8.3 Costs
Each party shall bear its own costs in dispute resolution unless otherwise agreed or awarded by a court or arbitrator.
9. Severability and Waiver
9.1 Severability: If any provision of these terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.
9.2 Waiver: No waiver of any term shall be deemed a further or continuing waiver of that term or any other term. Our failure to assert any right under these terms does not constitute a waiver of that right.
10. Assignment
You may not assign or transfer these terms or your rights and obligations without our prior written consent. We may assign our rights and obligations to any affiliate or successor without restriction. Any attempted assignment in violation of this section is void.
11. Entire Agreement
These Terms and Conditions, together with any additional service agreements and our Privacy Policy, constitute the entire agreement between you and Meridian Comet regarding your use of our services. These terms supersede all prior agreements, understandings, and communications, whether written or oral.
12. Amendments and Modifications
We reserve the right to modify these Terms and Conditions at any time. When we make changes:
- The "Last updated" date will be revised
- Material changes will be communicated to active clients
- Continued use after changes constitutes acceptance
- You should review these terms periodically
